Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Fanfloww LLC ("FanFloww", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

FanFloww provides B2B social media consulting services, including but not limited to social media strategy, content creation, paid advertising management, analytics and reporting, community management, and lead generation campaigns.

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Service Agreement or Statement of Work signed between the parties.

2. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and up-to-date information about their business
• Grant FanFloww necessary access to accounts, platforms, and assets required to deliver services
• Review and approve content, strategies, and materials in a timely manner
• Ensure all provided materials (logos, images, copy) do not infringe third-party intellectual property rights
• Pay invoices according to agreed terms

3. Payment Terms

Unless otherwise specified in the Service Agreement:

• Invoices are due within 14 days of issuance
• Late payments may incur a 1.5% monthly interest charge
• FanFloww reserves the right to pause services for overdue accounts exceeding 30 days
• All fees are exclusive of applicable taxes

4. Intellectual Property

Client Content: All content, logos, trademarks, and materials provided by the client remain the client's intellectual property.

FanFloww IP: Proprietary strategies, frameworks, templates, and methodologies developed by FanFloww remain our intellectual property.

Deliverables: Upon full payment, FanFloww grants the client a non-exclusive license to use deliverables created specifically for the client's campaigns.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of services for a period of two (2) years.

6. Results Disclaimer

FanFloww makes no guarantees regarding specific results, follower counts, engagement rates, or revenue outcomes. Social media performance depends on multiple factors outside our control, including platform algorithm changes, market conditions, and audience behavior. We commit to applying industry best practices and our full professional expertise.

7. Limitation of Liability

To the maximum extent permitted by applicable law, FanFloww's total liability for any claim arising out of or relating to our services shall not exceed the fees paid by the client in the three (3) months preceding the claim. FanFloww shall not be liable for indirect, incidental, special, consequential, or punitive damages.

8. Termination

Either party may terminate an engagement with 30 days written notice. Fees for work completed prior to termination are due and payable. FanFloww may terminate immediately for non-payment or material breach of these Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Sheridan County, Wyoming.

10. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance.
